Section 1 — Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your use of the website www.sunnycasita.com (the “Website”) and all services provided by Sunny Casitas, LLC (“Sunny Casitas,” “SC,” “we,” “us,” or “our”). By accessing our Website, submitting any forms, booking appointments, or engaging SC’s services, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our Website or services.

Section 2 — Company Description

Sunny Casitas is a pre-construction consulting and homeowner services company based in Phoenix, Arizona. SC is NOT a licensed general contractor. SC does not perform, manage, supervise, or direct any construction work. All construction is performed by independently licensed and insured Arizona general contractors under separate agreements between the homeowner and the contractor.

Section 3 — Scope of Services

SC provides the following consulting and facilitation services:

• Property assessment and ADU (Accessory Dwelling Unit / casita) feasibility evaluation
• Professionally engineered plan set licensing and design consultation
• Financing facilitation through vetted lending partners
• Contractor matching with licensed and insured Arizona general contractors
• Dedicated homeowner communication and support throughout the pre-construction and construction process

SC does NOT provide construction services, general contracting, construction management, or construction supervision of any kind.

Section 4 — User Acknowledgments

By using SC’s Website, submitting forms, booking appointments, or engaging SC’s services, you acknowledge and agree that:

a) SC is a consulting company and not a licensed general contractor;

b) All construction work will be performed by a separately contracted, independently licensed and insured Arizona general contractor under a separate construction agreement between you and the contractor;

c) Pricing estimates provided by SC are approximate, based on available information at the time, and subject to confirmation and adjustment by the selected contractor;

d) Project timelines are estimates and may vary based on permitting processes, contractor availability, material lead times, weather, and project scope;

e) Financing facilitation is a referral service only — all financing is subject to lender approval and underwriting, and is not guaranteed by SC;

f) SC does not guarantee that any particular contractor, lender, or other third party will agree to work with you or that the terms offered by such parties will meet your expectations.

Section 5 — No Construction Warranty

SC does not provide any warranty, express or implied, related to construction quality, workmanship, materials, building code compliance, structural integrity, or construction timeline. All construction warranties, guarantees, and obligations are provided directly by the licensed general contractor under a separate construction agreement between the homeowner and the contractor. SC expressly disclaims any responsibility for the acts, omissions, or performance of any contractor.

Section 6 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SC’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, OUR WEBSITE, OR OUR SERVICES SHALL NOT EXCEED THE TOTAL SERVICE FEES ACTUALLY PAID BY YOU TO SC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: CONSTRUCTION DEFECTS, CONSTRUCTION DELAYS, COST OVERRUNS, CONTRACTOR PERFORMANCE ISSUES, LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, OR ANY LOSS ARISING FROM THE CONSTRUCTION PROCESS, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER SC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section 7 — Indemnification

You agree to indemnify, defend, and hold harmless Sunny Casitas, LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

a) The construction process, including any defects, delays, injuries, or property damage;

b) The performance, acts, or omissions of any contractor, subcontractor, lender, or other third party;

c) Your breach of these Terms;

d) Your misuse of SC’s services or Website;

e) Any dispute between you and a contractor, lender, or other third party.

Section 8 — Intellectual Property

All plan sets, designs, branding, logos, marketing materials, website content, and other intellectual property created or provided by SC are the exclusive property of Sunny Casitas, LLC and are protected by applicable intellectual property laws.

Users who purchase or license plan sets from SC receive a limited, non-exclusive, non-transferable license to use such plan sets for one (1) residential construction project only. Users may NOT reproduce, distribute, modify, sublicense, sell, or otherwise transfer any plan sets or SC intellectual property without the prior written consent of SC. Unauthorized use of SC’s intellectual property may result in legal action.

Section 9 — Third-Party Services

SC facilitates connections with third-party lenders, contractors, and other service providers as part of its consulting services. SC is not responsible for the performance, quality, terms, pricing, conduct, or any acts or omissions of any third party. All agreements between you and any third-party lender, contractor, or service provider are independent agreements, and SC is not a party to such agreements. SC makes no representations or warranties regarding any third party.

Section 10 — Privacy

Your use of our Website and services is also governed by our Privacy Policy, available at www.sunnycasita.com. By using our services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Section 11 — Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be resolved as follows:

a) Good Faith Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation for a period of thirty (30) days.

b) Mediation: If the dispute is not resolved through negotiation, the parties shall submit the dispute to mediation administered by a mutually agreed-upon mediator in Maricopa County, Arizona.

c) Binding Arbitration: If mediation fails to resolve the dispute within sixty (60) days, the dispute shall be resolved by binding arbitration conducted in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

d) Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

e) Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

Section 12 — Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

Section 13 — Modification of Terms

SC reserves the right to update, modify, or replace these Terms at any time in its sole discretion. Changes will be posted on our Website with a revised “Last Updated” date. Your continued use of our Website or services after any changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

Section 14 — Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Section 15 — Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or documents referenced herein, constitute the entire agreement between you and SC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Section 16 — Waiver

The failure of SC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by SC.
